Agent shall cause all of its sales of annuity and life insurance contracts generated through the Marketing Program to be produced within the Creative One hierarchy. Agent shall comply with all applicable governmental laws, rules, regulations and orders concerning activities contemplated by use of the Marketing Program. This Agreement gives Agent certain limited rights to use intellectual property associated with the Marketing Program. Creative One and its licensor retain exclusive rights, title, and ownership to the materials and documentation licensed under this Agreement. All Marketing Program materials are protected by United States copyright laws and applicable international copyright treaties and conventions. All rights not specifically granted in this Agreement are reserved to Creative and its licensor. The parties acknowledge that each are independent contractors, and none is an employee, agent, partner, or legal representative of the other parties. This Agreement is not intended nor shall it be construed to be a partnership, joint venture, or profit-sharing enterprise between Creative One and Agent. The provisions of this Agreement will be binding on and inure to the benefit of the successors of the Parties; provided, however, that neither Party may assign this Agreement without the prior written consent of the other Party. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, the remaining portions hereof shall remain in full force and effect. The foregoing constitutes the entire and only understanding between the Parties with respect to the subject matter of this Agreement. If this Agreement conflicts with any prior agreements between the parties, this Agreement controls. No amendment to this Agreement shall be effective, unless made in writing and signed by a duly authorized representative of each Party. The parties may execute this agreement by counterpart signature pages and exchange such signature pages via pdf file or fax and a signature page so transmitted shall be considered the binding signature of such party.
